1. |
Prior to occupying space in the incubator building, the undersigned will execute a 12-month lease with The Small Business Synergy Corporation ("Synergy Corp.") in substantially the form attached, provided all requirements for participation in the business incubator program have been met. |

2. |
At the end of the first year of occupancy, the undersigned acknowledges its business activities will be subject to review. The Director of the Small Business Development Center ("Development Center") will conduct the review on behalf of the Synergy Corp., which review will include an evaluation of the undersigned's overall growth, revenues and job creation based on projections contained in the original business plan. |

3. |
At the end of the first year of occupancy, and only after approval of the Synergy Corp., the undersigned may be offered an "Agreement for Extension of Lease" to continue renting space in the incubator. There will be no rent increase at this time for either office-based (those tenants occupying no manufacturing space) or manufacturing tenants of the incubator building. |

4. |
Upon completion of the second year of occupancy, the procedures outlined in paragraphs 2. and 3. above will be repeated. At the end of the second year of occupancy, office-based tenants will be notified of a rent increase to the then market rate. Manufacturing tenants will receive no rent increase at this time. |

5. |
Following all annual reviews, the Director of the Development Center will report the results of the annual reviews to the Synergy Corp.'s Incubator Advisory Committee. |
|
|
6. |
Upon completion of the third year of occupancy, and each year thereafter, if any, all occupants of the incubator building will be required to appear in person before the Incubator Advisory Committee to request further extension of the Lease Agreement and will be required to submit a revised business plan. |

7. |
Rent increases for companies occupying space for more than two years will be as follows: |

Office Space |
|
Rent increases for companies occupying office space for the first three years, is CPI not to exceed 5% per year. |
|
Office space companies approved for an extension past the first three years, rent increases 10% per year. |
|
|
Manufacturing Space |
|
Rent increases for companies occupying manufacturing space for the first five years, is CPI not to exceed 5% per year. |
|
Manufacturing space companies approved for an extension past the first five years, rent increases 10% per year. |
